You mean you want to STEAL someone elses model? That is a blatent breach of copyright and could land you in deep do-do my friend.

If by any chance the guys from LucasArts or whoever did that game happens to find your project, maybe they'll care, maybe they'll justl et it go. If you're gonna sell your game they probably will care.

It's better to make your own model. First, it's a leraning experience, and second, it would be illegal even if you did not sell it, because you did not ask the author(s) for permission. Modding a star wars game is a different thing. There it is clear that the models belong to the original authors. (and in some cases the firms also say in the license agreement that the mods are their property too!!!)

It's still a breach of copyright to use it even if you don't sell your game. The law isn't about whether you get caught or not... It's about doing it. Anyway you can still get caught even if you don't sell your game. If you want to use someone elses model you NEED to get permission in writing from the copyright holder and they are very unlikely to give it without a lot of money changing hands.
There are plenty of royalty free models of all descriptions to be found on the Internet by just googling for them so why take a risk. Use the universal human, woman or robot for humanoid characters and modify them to suit your needs. Just give Animatrix some credit for them if you sell your game.

Or I think you could use it as a model, change it's textures and appearance so it won't look like the original

If you really want to do it, just ask for their permission...
EDIT:
POLITELY!
because otherwise you'll surely have a NO.

You can also get some free models when browsing around the web. Or I'm sure you can find a free modeler, or you could ask there permission to use them. Just browse in google for "Milkshape tutorials" and I'm sure you will find some good ones.
